Benefits & Compensation Associate Attorney
Dorsey & Whitney LLP is seeking an experienced Benefits & Compensation Associate to join our Minneapolis or Seattle offices as an Associate. This position can be a full-time position, but also can be a reduced time position. This Associate will work closely with employers on health and welfare plan matters (in particular the Affordable Care Act and HIPAA), executive compensation, 401(k) and retirement plans, and other benefits for executives and employees.
The Benefits & Compensation Group receives a steady stream of work from clients due to statutory and regulatory changes to the laws that govern benefits and compensation. In addition to the department’s clients, the Benefits & Compensation Group works with corporate, labor and employment, ERISA litigation, and other practice areas in the Firm. Our attorneys have frequent contact with our clients’ in-house attorneys and human resource professionals.
The following qualifications are required:
- A JD degree from an ABA-accredited law school or the ability to be admitted to the Minnesota State bar (for candidates interested in working in Minneapolis) or the Washington State bar (for candidates interested in working in Seattle);
- Three or more years of benefits and compensation experience in a law firm, a consulting firm, or as in-house counsel;
- Excellent analytical, communication and client service skills;
- Experience in communicating benefits and compensation topics and recent developments, for example experience in the preparation and delivery of presentations; and
- Top academic credentials.
Minnesota State bar admission is preferred for Minneapolis candidates. Washington State bar admission is preferred for Seattle candidates.

This full-time, exempt position is a bargaining unit position, eligible for representation by Washington Legal Workers, our in-house labor union. Salary is commensurate with years of experience, based on a scale governed by our collective bargaining agreement. The salary range for an attorney with 0-7 years of experience is $55,000 - $72,300 including an annual cost-of-living adjustment. We also offer a comprehensive compensation package with 15 paid holidays, between 15-21 paid vacation days, 12 sick days, and between 3-5 personal days each year, as well as paid parental and family medical leave benefits and a partially-paid sabbatical every 7 years. We pay 100% of employee premiums for excellent health, vision, and dental benefits plus 50% of the maximum out-of-pocket deductible and offer heavily subsidized family premiums. Responsibilities:
· Operate as the primary legal contact for a subset of portfolios within PATH’s CVIA global program, assessing overall legal support needs and assignment of responsibilities in consultation with CVIA program leadership and PATH General Counsel.
· Provide legal counsel and advice including risk assessment to CVIA program leadership and staff.
· Provide legal counsel and advice on intellectual property matters to CVIA Director of Commercialization and commercialization staff.
· Work with the CVIA staff to establish strong public-private partnerships in support of the mission of PATH.
· Draft product development partnership agreements supporting vaccine development and commercialization e.g., collaborative research and development agreements, clinical study agreements, manufacturing agreements, and other technology-supportive third-party agreements.
· Team with CVIA staff and leadership to negotiate agreement terms.
· Manage scope and interaction with outside counsel in coordination with PATH General Counsel and CVIA leadership and CVIA Director of Commercialization, as appropriate.
· Responsible for cost-effective provision of legal services in a timely and effective manner.
Required skills and experience:
· J.D. plus a minimum of eight years' experience to include: providing legal counsel to life sciences companies, such as pharmaceutical, biotech, or biomedical firms, and transactional experience in drafting agreements addressing complex technology collaborations, clinical studies, and intellectual property licensing; or an equivalent combination of education and experience.
· Licensed to practice law in the state of Washington.
· In-house legal counsel experience.
· Excellent written and verbal skills.
· In depth understanding of scientific/intellectual property driven transactions.
· Strong background in intellectual property matters as related to the pharma/life science practice.
· Demonstrated experience in providing legal counsel and advice with strong risk assessment skills.
