Senior Business Associate Attorney
Ogden Murphy Wallace, P.L.L.C. is seeking a senior business associate attorney to join its Seattle office. OMW is a mid-size, multi-specialty firm primarily serving Pacific Northwest clients for over 120 years. The firm emphasizes a collaborative, team approach to the delivery of legal services and is seeking applicants with strong research and writing skills, superior academic credentials, and the ability to work closely with multiple attorneys and staff. This position will focus on advising business clients on business and tax matters including mergers and acquisitions, general corporate and contracting work, governance, entity formation, real estate, debtor/creditor (including bankruptcy, secured transactions, and commercial finance), joint ventures, and other business-related transactions. Applicant must have a Washington State bar license; LL.M. in taxation or an MBA is a plus. Prior work experience and/or course of study in a business-related field is also desired. The ideal candidate will have 5 or more relevant years of legal experience, either in-house or in a private firm, and will be expected to:
· Provide legal support to senior attorneys by drafting, analyzing and interpreting agreements, contracts, and legal documents;
· Research and analyze complex issues;
· Assist with entity formations;
· Strategize and negotiate solutions for clients;
· Ability to manage multifaceted business transactions and closings; and
· Perform work independently to achieve client objectives.
