Summary:

The Associate General Counsel (AGC) evaluates and helps to mitigate legal risk for BECU in connection with third party contractual relationships. The AGC facilitates consistency in the legal positions taken by BECU and supports fact finding and evaluation of legal matters. The AGC develops legal positions that protect BECU and works with various business clients, enterprise risk management, vendor management, compliance, legal, and senior management to make informed decisions about the assumption of legal risk and to monitor and manage legal risk. The AGC will prioritize complex material and multi-functional risks to the enterprise, as well as coordinate and provide governance over risk treatments within the Legal Department and with outside counsel. The role will achieve this by using multiple strategies to persuade others, identifying and removing barriers to agreements, winning concessions effectively and providing input into future negotiation processes and strategies.

In this job, you will:

  • Performs all responsibilities in accordance with BECU Competencies and Information Protection requirements.
    Reviews and negotiates third party agreements, balancing timely achievement of strategic and business objectives with appropriate management and mitigation of risks.
    Sets pre-negotiation objectives and uses negotiation skills to reach those objectives.
    Engages in contract discussions with vendors and other third parties and is able to take the lead role in negotiating open contract issues in person and by telephone.
    Coordinates with internal stakeholders on open contract issues, risk assessment, risk allocation, risk mitigation, and negotiation strategy.
    Demonstrates a high level of professional leadership in assisting stakeholders with different perspectives in achieving successful resolutions that are practical, while complying with applicable risk tolerances, policies, procedures, laws, and regulations.
    Coordinates with outside counsel in the representation of BECU’s position to facilitate a consistent, accurate, and complete explanation and defense of BECU’s legal position.
    Develops enterprise-wide preferred language and fallbacks for recurring legal and risk-shifting issues such as indemnification, performance standards, remedies, insurance requirements, limitation of damages, waivers, subrogation, termination rights, and termination fees.
    Maintains Legal Department records for third party contracts.
    Uses multiple strategies to persuade others; identifies and removes barriers to agreements; wins concessions effectively; provides input into future negotiation processes and strategies.
    Perform additional duties as assigned.

Qualifications:

  • Juris Doctorate Degree and Washington State Bar membership required. If not a Washington State Bar Association member, must secure membership within one year.
    Minimum of 8years of experience as an attorney required.
    Law firm experience preferred.
    Proficient verbal and written skills required to effectively communicate in the English language.
    Full time hours required, with additional hours as necessary.
    Occasional travel required.
    Familiarity with financial institutions and IT/software services.
